Mitsui Fudosan Logistics Park REIT announces merger with ADL

Japan’s Mitsui Fudosan Logistics Park (MFLP-REIT) has conducted an absorption-type merger with Advance Logistics Investment (ADL), a J-REIT specializing in logistics and sponsored by ITOCHU, to create a $3.8 billion industrial trust.

The merger resulted in a dual sponsorship structure consisting of Mitsui Fudosan, a comprehensive developer, and ITOCHU Group, a general trading company.

As a result, MFLP-REIT said it has achieved a significantly expanded asset size to elevate market presence and better stability due to advances in portfolio diversification.

An absorption-type company split was undertaken to allow Mitsui Fudosan Logistics REIT Management, a wholly owned subsidiary of Mitsui Fudosan, to take over ITOCHU REIT Management’s (IRM) asset management business related to logistics facilities. Mitsui Fudosan Logistics REIT Management absorbed the relevant business split from IRM, while IRM became a shareholder of the company.
