Sunoco completes $7.3b acquisition of NuStar Energy

by Kali Persall

Sunoco, an energy infrastructure and fuel distribution master limited partnership operating across 47 U.S. states, Puerto Rico, Europe and Mexico, has completed the acquisition of NuStar Energy, an independent liquids terminal and pipeline operator.

The acquisition was previously announced in January, which valued the all-equity transaction at $7.3 billion, including assumed debt.

The merger was approved by NuStar unitholders at its special meeting held on May 1. Effective May 3, NuStar's common units ceased trading on the New York Stock Exchange.

Sunoco’s midstream operations include an extensive network of approximately 9,500 miles of pipeline and more than 100 terminals. The company said completion of this transaction increases its stability and credit profile, strengthens its financial foundation and enhances its growth ability. Sunoco expects to realize at least $150
